Terms of Service
The working agreement, in the same plain language as the quote you sign. Each project is also covered by its own signed scope sheet, which always takes precedence over this page.

What we agree on
Every project starts with a one-page scope sheet listing the pages, features, timeline and price. Work begins once it is signed and the deposit is received. If something is not on that sheet, it is not in the price — it will be quoted and approved in writing before it is built.
Payment
Projects under US$1,000 — including the Landing Page / Micro Website package — are billed 50% to begin and 50% on final approval, before launch or before the source code is handed over. Projects over US$1,000 are split into three: 40% to begin, 30% once the design or first milestone is approved, and 30% before launch. Large custom systems follow a phased payment plan set out in the proposal. Quotes are valid for 30 days. The deposit reserves your place in the schedule, covers work already scheduled and performed, and is normally non-refundable once work has begun. Third-party costs — domain, paid email, premium plugins, APIs — are paid by you before they are purchased. Recurring costs, hosting, domain and optional care plans are billed separately, annually or monthly as agreed.
Revisions
Feedback is gathered into collected rounds rather than a stream of single changes, which keeps the work fast and the price honest. The number of rounds included follows your chosen package and the written scope sheet — one round for the Landing Page / Micro Website, two for the Professional Website, three for the Business Website. A revision covers the design and content already agreed; reversing an approved direction, or adding pages, sections or features, is extra work and is quoted first. Further rounds are billed at the published rate.
What you provide
Text, photographs and your logo are needed before building starts, along with access to your domain. Delays in providing content move the timeline, not the price. You confirm you have the right to use everything you supply.
Ownership
After the final payment, the website, its content and its source code belong to you. Before final payment, the work remains mine. Your domain and your email are never mine at any point — both are bought in your own name from the start, so there is nothing for me to hand over and nothing I could withhold. Any third-party components used — fonts, libraries, plugins — keep their own licences. I keep the right to show the finished work in my portfolio unless you ask me not to.
Hosting and maintenance
If I host your site, the annual fee covers the server, the SSL certificate, backups and the technical management of the hosting. It does not cover the domain, which you renew directly with your registrar, or email. Hosting can be moved onto an account of your own whenever you want it to be. Maintenance plans are optional, monthly, and can be cancelled with 30 days' notice. Without a maintenance plan, changes after launch are billed hourly.
Timelines
The first version is delivered 7–10 business days after the deposit and your complete materials are received. Each round of your feedback should arrive within 3 business days, collected into one message. A normal small project goes live in about two to three weeks. Dates are honest estimates, not guarantees — if materials, approvals or feedback arrive late, the delivery date moves by the same amount. Rush work is quoted separately.
If a project stops
Either of us can stop a project in writing. You pay for the work completed to that point; anything already paid beyond that is refunded. A project paused for more than 30 days may need to be rescheduled around other committed work, and after 60 days with no client response it may need re-quoting to restart.
What I can and cannot promise
I will build what the scope sheet describes, test it on phones and desktop, and fix defects in my own work free of charge for the period stated for your package — 14 days after launch for the Landing Page / Micro Website package, 30 days for the other packages. I cannot guarantee search rankings, traffic, sales, or the uptime of third-party services. My liability for any claim is limited to the amount you paid for that project.
Change requests & approval
Changes within the agreed scope are collected into the revision rounds. A request that adds to the scope — a new page, feature or integration — is quoted and approved in writing before it is built, as extra work. When you approve a milestone or the final delivery, that stage is treated as accepted so the project can move forward.
Content & client delays
Text, images, logos and any access I need should arrive by the dates in the scope sheet. Delays in providing them move the timeline, not the price. If a project is waiting on you for a long time, remaining milestones may be rescheduled around other committed work.
Third-party services & fees
Some projects rely on paid outside services — hosting, domains, paid email, maps, SMS, payment gateways, premium plugins or APIs. Their fees are billed to you at cost or paid by you directly, and must be paid before the service is purchased. Each keeps its own terms and pricing, which can change outside my control. Professional translation and proofreading are also quoted separately. I integrate these services; I do not guarantee their availability.
Reusable components & open-source
Projects may include open-source libraries and my own pre-existing, reusable components and helpers. These keep their own licences, and I keep the right to reuse my general-purpose components on other projects. What is transferred to you is the finished work built for you — not exclusive ownership of underlying open-source or general tooling.
Refunds
The deposit reserves your place in the schedule and covers work already scheduled and performed; it is normally non-refundable once work has begun. If we stop the project, you pay for the work completed to that point and anything paid beyond that is refunded. Because each project is custom work, there are no refunds for a finished, delivered and accepted project.
Data & backups
While I host your site, routine backups are included as described in the hosting or care plan. You are responsible for keeping your own copies of content and data you provide, and for any data your own users enter after launch. I am not liable for loss caused by third-party outages or by changes made outside my work.

Governing terms
In these terms, “Rayspring Tech” refers to the independent digital studio operated by Ray. They are the working agreement between you and Rayspring Tech; where a signed scope sheet says something different, the scope sheet wins. Any business, tax or governing-law details that apply to a specific project are set out in that project’s proposal or invoice.
